Welcome to Cloviana. These Terms of Service ("Terms") govern your access to and use of Cloviana’s website, services, applications, and other offerings (collectively, the "Services"). By accessing or using the Services, you agree to these Terms in full. If you do not agree, please do not use the Services.

1. Definitions

  • Company, we, us, or our: Cloviana, Inc., a Delaware corporation.
  • User, you, or your: any individual or entity accessing or using the Services, including creation of a User Account.
  • Content: text, images, video, audio, data, metadata, and other materials you upload or transmit via the Services.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding agreement to use the Services. By using the Services, you represent and warrant that you meet these requirements.

3. Account Registration and Security

  1. Registration: Certain features require you to register for an account and provide accurate, current, and complete information.
  2. Credentials: You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  3. Notification: Notify us immediately if you discover any unauthorized use of your account.

4. User Conduct and Obligations

You agree to comply with all applicable laws and these Terms. You may not:

  • Upload or share Content that is unlawful, infringing, defamatory, obscene, or otherwise prohibited.
  • Interfere with or disrupt the Services or underlying infrastructure.
  • Reverse engineer, decompile, or attempt to extract source code.
  • Use bots or automated means without our written consent.
  • Impersonate any person or entity or misrepresent your affiliation.

5. Content Ownership and License

  1. Your Content: You retain ownership of all Content you upload. By uploading, you grant us a worldwide, royalty-free license to host, store, reproduce, modify, and display your Content solely to provide the Services. We will not use your Content for AI model training, marketing, or other commercial purposes without your explicit consent.
  2. Company Content: All trademarks, logos, designs, and Company-owned materials remain our exclusive property. You may not use them without our prior written permission.

6. Feedback

If you submit feedback, suggestions, or feature requests, you grant us a perpetual, royalty-free license to incorporate them into our Services without compensation to you.

6.1 DMCA & Copyright Infringement

We comply with the DMCA. To report infringing Content, send a notice to our Designated Agent at support@cloviana.com with:

  1. Your signature (physical or electronic).
  2. Identification of the copyrighted work.
  3. Identification of the infringing material and its location.
  4. Your contact information (address, phone, email).
  5. A statement of good-faith belief that the use is unauthorized.
  6. A statement under penalty of perjury that the information is accurate.

We will remove or disable access to infringing Content. To contest a removal, submit a counter-notification to support@cloviana.com including:

  1. Your signature.
  2. Identification of the removed material and its location before removal.
  3. A statement under penalty of perjury of a good-faith belief of error.
  4. Your contact information and consent to jurisdiction.

7. Fees and Payment

Certain Services require payment. All fees are in U.S. dollars, non-refundable (unless stated), and exclude taxes. We may adjust fees or introduce new charges with 30 days’ notice. Late payments may result in suspension or termination of Services.

8. Privacy, Data Protection & Data Rights

Our Privacy Policy describes how we collect, use, share, and secure your information. We employ industry-standard encryption in transit (TLS 1.2+) and at rest (AES-256). Content is retained only as needed to provide the Services, then purged per our data retention policy. You may access, export, or delete your Content and personal data at any time via your dashboard or by contacting support@cloviana.com.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER COMPANY NOR ITS AFFILIATES SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM OR IN CONNECTION WITH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID IN THE SIX (6) MONTHS PRIOR.

11. Indemnification

12. Termination

  1. By You: You may terminate your account at any time via your settings.
  2. By Company: We may suspend or terminate your access for any reason, with or without notice.
  3. Effect: Upon termination, your rights under these Terms cease.
  4. Data Deletion: You may export or delete your data; we will process such requests within 30 days of receipt.

13. Modifications to the Terms

We may update these Terms at any time. We will notify you of significant changes via email or in-app notification. Continued use after the effective date constitutes acceptance of the new Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by Delaware law, without regard to conflict-of-law principles. Disputes will be resolved exclusively in state or federal courts in Delaware, and you consent to their jurisdiction.

15. Miscellaneous

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement.
  • Severability: If any provision is invalid, the remainder remains in effect.
  • Waiver: Failure to enforce any right is not a waiver of that right.
